NinjaAssurance: Terms of Use & Disclaimer

These Terms of Use are provided only in English. By using NinjaAssurance, you confirm that you understand and accept these Terms, even if your device language is not English. If you are unsure about any term, do not use the App.
1. Acceptance of Terms
By downloading, installing, accessing, or using NinjaAssurance (“the App”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not use the App and should uninstall it immediately.
2. Changes to Terms and Privacy Policy (Check Regularly)
We may update these Terms and/or the Privacy Policy from time to time. The “Last updated” date above indicates when the most recent changes became effective.
You are solely responsible for reviewing these Terms and the Privacy Policy periodically and for ensuring that you understand their content and any changes made to them. Continued use of the App after any update constitutes your acceptance of the revised Terms and Privacy Policy.
If you do not agree with, or do not understand, any part of the Terms and Conditions or the Privacy Policy, you must immediately discontinue use of the App and delete your account. You may also contact support@ninjaassurance.com
for further information or assistance.
Errors and Inadvertent Omissions
While we take reasonable care to ensure that these Terms of Use and the Privacy Policy are accurate and up to date, they may contain typographical errors, inaccuracies, or inadvertent omissions. Such errors do not affect the validity or enforceability of these Terms or the Privacy Policy.
NinjaAssurance shall not be held liable for any loss or damage arising solely from such errors or omissions, to the maximum extent permitted by applicable law. If you identify an error or inconsistency, you may notify us at support@ninjaassurance.com.
3. Eligibility
You must be at least 18 years old, or of legal age, to use NinjaAssurance. By using the App, you confirm that you meet this requirement.
4. Service Description & Intended Use (Not an Emergency Service)
NinjaAssurance provides scheduled “check-in” reminders. If a user fails to check in, alerts (via push notifications, local notifications, and/or SMS) may be sent to the user and/or nominated emergency contacts, depending on the user’s configuration.
The App does not provide emergency, first response, or life-saving services and is not a substitute for contacting local authorities or official emergency services.
NinjaAssurance is intended only as an auxiliary communication tool. Users and their contacts must not rely on NinjaAssurance as a primary or reliable means of ensuring personal safety, security, or emergency response.
5. Automated Operation (No Human Monitoring)
Check-in reminders, escalation logic, and alert delivery are automated. NinjaAssurance staff do not monitor, review, or intervene in individual user cases or alert events.
6. No Guarantee of Delivery, Timing, or Availability
The App depends on third-party services and infrastructure (including internet connectivity, device OS services, push notification services, mobile providers, and SMS gateways). Delivery of notifications or SMS alerts cannot be guaranteed, and delays may occur.
Service limitations (including country, carrier, or technical restrictions) may prevent SMS delivery.
A current list of SMS-restricted countries may be available upon request from support@ninjaassurance.com. This list may change at any time.
7. Service Changes, Suspension, and Discontinuation
We may modify, suspend, or discontinue the App (or any feature) at any time, with or without notice. NinjaAssurance is not liable for any modification, suspension, or discontinuation of the App or any feature.
If your account is blocked, suspended, or terminated due to being underage, violating these Terms, misuse of the App or its content, suspected abuse, or any other enforcement action under these Terms, NinjaAssurance has no obligation to provide any refund, reimbursement, compensation, or payment for any loss, claim, expense, or damages you allege or incur, to the maximum extent permitted by law.
8. User Responsibilities
Accurate Information: You are responsible for providing and maintaining accurate and up-to-date account and contact information.
Contact Consent: By adding emergency contacts, you represent and warrant that you have obtained each contact’s explicit consent to be listed and to receive communications (including SMS where enabled).
Login and Device Security: You are responsible for safeguarding your credentials and device security, including using strong, unique passwords and maintaining sufficient battery and connectivity.
Single Device Use: Only one active device per account is permitted. Concurrent logins are not allowed.
Configuration and Maintenance: You are responsible for ensuring the App remains correctly configured and functional. This includes maintaining internet access, enabling notifications, granting required permissions, disabling battery optimization restrictions that may block delivery, and periodically testing that check-ins and alerts function as intended.
9. Persistent Check-ins and Escalations (Important)
Unless you actively remove or cancel scheduled check-ins, alerts and escalations may still occur, even if:
• You log out of the App
• You delete or uninstall the App
• You turn off your phone
• You disable notifications
• You lose access to your device
It is your responsibility to disable or delete check-ins that are no longer relevant.
10. Acceptable Use
Lawful Use: The App may only be used for lawful purposes.
Prohibited Use: You must not misuse the App, attempt to bypass security, create fraudulent alerts, harass others, or use the App in a way that violates these Terms. We may suspend or terminate accounts for violations, without refund.
11. Third-Party Services
To provide the App, we may use third-party services for analytics, crash reporting, hosting, messaging, push notifications, and SMS delivery. These services may process data as described in the Privacy Policy and under their own terms.
Examples may include (but are not limited to):
• Google Firebase (https://firebase.google.com/)
• Google Analytics / Google services (https://analytics.google.com/ and https://policies.google.com/privacy)
• Twilio (https://www.twilio.com/)
You acknowledge that third-party services may be governed by their own terms and policies. NinjaAssurance is not responsible for third-party services, networks, or outages.
12. Data Privacy, Retention, and Compliance (Summary)
Your use of the App is also governed by our Privacy Policy.
Data Collected: The App processes user phone numbers and nominated contact information to deliver check-ins and alerts.
Purpose Limitation: Emergency contacts’ data is used only for safety notifications and not for marketing communications.
Retention:
• Operational data may be deleted when no longer needed.
• Security/SMS logs may be retained up to one year or longer where required by law.
• Following account deletion or consent withdrawal, personal data is deleted within 30 days, except where an exception applies, in which case it may take up to 120 days.
GDPR Rights:
• You confirm you have the right to share any contact data you enter.
• Contacts may email support@ninjaassurance.com to request access, correction, or deletion.
Where a conflict exists between a user’s configuration and a contact’s data protection rights, the contact’s rights shall prevail.
Contact Removal and Objections
NinjaAssurance reserves the right, at its sole discretion, to remove, disable, or permanently delete any emergency contact details from a user’s account without prior notice to the user where:
• the contact requests removal or objects to their data being processed,
• NinjaAssurance believes the contact has not given valid consent,
• the contact’s inclusion may violate applicable data protection laws (including GDPR), or
• retention of the contact data may expose NinjaAssurance to legal, regulatory, or safety risk.
Such removal may occur immediately and does not require user approval. NinjaAssurance has no obligation to notify the user before or after such removal.
Data Storage Location: Data is stored in the EU (currently Belgium), with potential future changes for compliance and reliability.
13. Notifications, Language, and Limitations
Notifications and alerts may be sent even if your device is off or disconnected at the time a check-in is missed, and delivery is not guaranteed.
SMS alerts are sent in the user-selected language where supported.
Country/carrier limitations may apply.
14. Accessibility
We aim to provide basic accessibility features, but the App may not meet all accessibility requirements in all jurisdictions.
15. Intellectual Property
All code, design, layouts, trademarks, and branding belong to NinjaAssurance or its licensors. You may not copy, modify, distribute, or reverse engineer the App except where permitted by law.
16. Payments, Trials & SMS
If the App includes paid plans, trials, or SMS usage limits, those details are shown in-app and/or in the relevant store listing. We may enforce fair use limits and restrict service in cases of suspected abuse.
Limit of 18 SMS per year per user. Abuse may result in blocking.
17. Ads & Tracking
The App may display third-party ads. Tracking depends on your OS-level consent settings and applicable law.
18. Beta Features
Beta or experimental features may change, be removed, or become paid features at any time.
19. Disclaimer and Limitation of Liability
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
NinjaAssurance is not an emergency or life-saving service. You agree that NinjaAssurance is not liable for any direct or indirect damages, including missed alerts, delayed delivery, network failures, device issues, or third-party service outages, to the maximum extent permitted by law.
20. Indemnification
You agree to indemnify and hold harmless NinjaAssurance from claims arising out of your misuse of the App, violation of these Terms, or violation of any law or third-party rights.

22. Governing Law
Estonian law applies, unless mandatory consumer protection laws in your jurisdiction require otherwise.
23. Time Zones, DST, and Clock Changes
The App’s scheduling depends on device time settings. You are responsible for verifying your check-ins after time zone changes, daylight saving time changes, or manual clock changes.
24. Abuse & Enforcement
We may investigate suspected abuse and take action, including termination, blocking alerts, or restricting features, without refund where permitted by law.
25. Support Conduct
Respectful communication is required. Abusive or harassing messages may result in restricted support access.
26. App Store Terms
Where you downloaded the App from an app store, that store’s terms may apply and may override certain payment/refund handling.
27. Miscellaneous
These Terms constitute the entire agreement regarding the App and supersede prior versions.
